Terms & Conditions

These Terms and Conditions govern all services provided by CPD NSA (referred to as "the Company," "we," "us," or "our").

1. Definitions
1.1 Approved Provider/You/Your: The individual, firm, or corporate entity entering into a contract with us for the purposes of accreditation. Accreditation is specific to the business entity, not to any individual employees.
1.2 Contract: The legally binding agreement established upon your acceptance of these Terms, encompassing both chargeable and non-chargeable services provided by CPD NSA.
1.3 Fee: The financial charges applicable to the CPD Accreditation Services provided by CPD NSA.
1.4 Materials: All resources, documents, and content that you submit to us for the purpose of accreditation.
1.5 Services: The CPD Accreditation services provided by CPD NSA, which include the review and certification of educational activities.
1.6 Activities: Refers to CPD Training Courses, Webinars, Podcasts, Events, and Editorials that are subject to accreditation.
1.7 Non-Chargeable Services: Services provided by CPD NSA that do not incur a fee.
1.8 Chargeable Services: Services provided by CPD NSA that require payment.
1.9 Website: The online platform accessible at https://cpdnsa.org.uk.
1.10 Expired: The status indicating that a CPD Accreditation has reached the end of its validity period and is no longer active.
1.11 Suspended: The temporary status indicating that CPD Accreditation has been halted due to issues with the Approved Provider's account or compliance.

2. Contract Formation
2.1 To apply for CPD Activity Accreditation, you must complete and submit the registration form available on our website.
2.2 A binding contract is established once you submit the registration form and digitally accept these Terms. This acceptance serves as your digital signature and indicates your agreement to comply with these Terms.
2.3 Approval of your status as an Approved Provider will be communicated in writing. Access to services will be granted only after this written confirmation.
2.4 In the event that your application for Approved Provider status is rejected, any fees paid for chargeable services will be refunded within 14 days of the rejection notice.
2.5 By submitting the registration form, you confirm that you are authorised to enter into this contract on behalf of your company.
2.6 Approved Provider status, along with any associated accreditation, is non-transferable and cannot be assigned to another entity without our express written consent.
2.7 You are required to notify us immediately of any changes to your company’s name, any action towards strike-off, or dissolution.
2.8 Upon approval, Approved Providers will receive a unique Certificate, Logo, and Identification Number. These identifiers may only be used to represent that the business has completed the CPD NSA accreditation process. The use of these assets to suggest that individual CPD Activities or trainers are accredited is strictly prohibited unless all conditions are met.
2.9 All certificates issued under the CPD NSA accreditation must be registered with us, and a fee of £1 per certificate is applicable. Certificates bearing our logo must not be issued unless they are registered, and the nominal fee has been paid.

3. Accreditation
3.1 CPD Course Accreditation
3.1.1 CPD Courses are subject to a comprehensive assessment under the CPD NSA Accreditation Framework, ensuring they meet our rigorous standards.
3.1.2 We evaluate learning materials for suitability according to our framework but do not assess the technical accuracy or content depth.
3.1.3 Courses that cover multiple subjects must be submitted individually for separate accreditation.
3.1.4 The accreditation process begins only after all required materials are submitted and the associated fee is paid.
3.1.5 The review process for courses typically occurs within 7-14 days, depending on the specific plan selected by the Approved Provider.
3.1.6 Once accredited, courses cannot be altered without prior consent from CPD NSA.
3.1.7 Accreditation remains valid for a period of 36 months, after which renewal is required to maintain accreditation status.
3.2 CPD Webinar Accreditation
3.2.1 Webinars are thoroughly reviewed to ensure compliance with CPD NSA standards.
3.2.2 All necessary documentation must be provided for the assessment process to commence.
3.2.3 Accreditation is specific to the content of the webinar and does not extend to any associated products or supplementary materials.
3.2.4 Webinars are generally reviewed within 1-2 working days.
3.2.5 Accreditation is valid for 36 months, with a mandatory renewal required thereafter.
3.2.6 Each webinar certificate must be registered with CPD NSA, with a fee of £1 per certificate applicable.
3.3 CPD Podcast Accreditation
3.3.1 Podcasts follow an accreditation process similar to that of webinars, ensuring they meet CPD NSA standards.
3.3.2 All required documents must be submitted for assessment to begin.
3.3.3 Accreditation is limited to the podcast’s content and does not apply to any associated products.
3.3.4 Podcasts are typically reviewed within 1-2 working days.
3.3.5 Accreditation is valid for 36 months and must be renewed to maintain validity.
3.3.6 Each podcast certificate must be registered with CPD NSA, with a fee of £1 per certificate applicable.
3.4 CPD Editorial Accreditation
3.4.1 Editorials are subject to a rigorous assessment under the CPD NSA Accreditation Framework.
3.4.2 Accreditation applies solely to the content of the editorial and not to any associated products.
3.4.3 The review process for editorials typically occurs within 1-5 working days.
3.4.4 Accreditation remains valid for 36 months, with renewal required thereafter.
3.4.5 Each editorial certificate must be registered with CPD NSA, with a fee of £1 per certificate applicable.
3.5 CPD Trainer Accreditation
3.5.1 Trainers are evaluated through a thorough assessment process to ensure they meet CPD NSA standards.
3.5.2 Accreditation for trainers is valid for 36 months, with a mandatory review process thereafter.
3.5.3 Trainers must maintain active Professional Indemnity Insurance and provide evidence of their qualifications as part of the accreditation process.
3.5.4 Accreditation is specific to the trainer's competencies and does not imply CPD accreditation for any activities they deliver.
3.6 CPD Employer Accreditation
3.6.1 Employers undergo a detailed assessment to ensure compliance with CPD NSA’s accreditation standards.
3.6.2 Accredited employers receive a unique logo, which must be used in accordance with CPD NSA’s guidelines.
3.6.3 Employer accreditation does not extend CPD accreditation to any courses or trainers within the organisation unless specifically stated.
3.7 CPD Event Accreditation
3.7.1 Events are accredited based on their alignment with CPD NSA standards.
3.7.2 Accredited events receive a unique QR code that allows delegates to access their certificates of attendance.
3.7.3 Each event certificate must be registered with CPD NSA, with a fee of £1 per certificate applicable.

4. Fees and Payments
4.1 Courses can be accredited for a term of up to 36 months.
4.2 Fees are payable upon issuance of an invoice, with the full amount due as per the agreed terms.
4.3 Accreditation slots that remain unused within the specified period are non-refundable and cannot be carried over.
4.4 Payments must be made in pounds sterling, without any deductions or offsets, except as required by law.
4.5 Late payments may result in suspension or termination of your registration and associated services.

5. Intellectual Property
5.1 You retain all intellectual property rights in the materials you provide, while granting us a licence to use them solely for the purpose of fulfilling our contractual obligations.
5.2 We retain ownership of all intellectual property provided as part of our services.
5.3 Licences granted under this agreement are non-exclusive, non-transferable, and may be revoked if these Terms are breached.

6. Termination
6.1 We reserve the right to terminate the Contract immediately if you fail to pay the required fees, provide inaccurate information, or otherwise breach these Terms.
6.2 Upon termination, all outstanding payments become immediately due, and you must cease using any CPD NSA intellectual property.

7. Liability and Indemnity
7.1 We are not liable for any indirect, special, or consequential losses, except in cases of death or personal injury resulting from our negligence.
7.2 You agree to indemnify us against any liabilities arising from your breach of these Terms.

8. Force Majeure
8.1 Neither party is liable for any delays or failures in performance caused by circumstances beyond their reasonable control, including but not limited to natural disasters, war, or governmental actions.

9. Confidentiality
9.1 Both parties agree to maintain the confidentiality of all information exchanged under this Contract and to use it solely for the purposes of fulfilling their contractual obligations.

10. Other Important Terms
10.1 We may transfer our obligations and rights under this Contract to a third party, provided that such transfer does not adversely affect your rights.
10.2 This Contract is governed by the laws of England and Wales. Any disputes arising under this Contract will be subject to the exclusive jurisdiction of the courts in England and Wales.

11. Data Protection
11.1 Both parties agree to comply with all applicable data protection laws, including the General Data Protection Regulation 2016 and the Data Protection Act 2018.
